Mergers
& Acquisitions
The critical ingredients for a successful merger, acquisition or
divestiture are industry knowledge and the ability to execute on a timely
basis. With its extensive experience, transaction history and relationships,
we are able to offer our clients comprehensive advice supported by
careful valuation analysis and focused negotiations.
- Representing a Buyer -
We work closely with our clients to develop and define acquisition strategy
including alternatives which will complement their businesses making them
more competitive and profitable. We participate in the due
diligence process and work with the client to structure the offer and
consummate the transaction.
- Representing a Seller -
We are able to provide our clients with recommendations as to potential price
and likely buyers prior to the formal sales effort. We work with
the client to prepare a confidential memorandum which is typically
targeted to specific buyers. We participate in the negotiation of
price and structure with a view towards maximizing shareholder value
within the context of the net effect the divestiture has on the resulting
company and shareholders.
Financial Advisory Services

investment banking for clients often begins with a financial advisory
assignment providing the foundation for a long term relationship. We can
help
clients formulate and structure long range financial and strategic plans. A
client may find it lacks the in-house resources to develop a comprehensive
plan, or it may with to have an independent party review internally
developed plans. Specific areas that might be explored during a financial
advisory relationship include:
- Evaluations of financial performance
vis-a-vis competitors and industry trends, followed by recommendations to
strengthen the company.
- Analysis of a client's current capital
structure in view of future corporate needs.
- Analysis of a prospective acquisition or
divestiture and the evaluation of takeover proposals.
- Develop detailed financial models.
- Assist in the public securities offering
process from selection of the underwriter through execution of the
offering.
- Provide all necessary CFO
services, interface with the financial community and undertake all
necessary financial functions.
- Research,
develop and write comprehensive business plans specifically tailored to
each client and the different audiences to which they will be delivered.
